F. CUSTODIANSHIP
This is a trust arrangement where the Trustor delivers to the Trustee securities or other properties/assets for safekeeping of the Trustee for the benefit of the Trustor.
G. ESCROW AGENCY
A trust arrangement wherein two or more persons engaged in a business transaction may deem it advisable to deposit with a trust institution as a disinterested and responsible third party, cash, securities or documents relating to the transaction. It is the duty of the agent to hold the cash, securities and documents until certain conditions set forth in the escrow agreement have been fulfilled and then to deliver them in accordance with instructions.
Escrow agency is a common and useful device in the sale and purchase of real property.
H. TRANSFER AGENCY
This is a complementary service whereby Trust Services handles the registration and booking of the shares of ownership of a given corporate entity. As transfer agent, it shall effect transfer of stocks from one stockholder to another.
I. PAYING AGENCY
In paying agency arrangement, Trust Services acts as paying agent for maturing bonds, interest coupons and dividend payments on company’s issues and interest due.
J. LOAN AGENCY
Trust Services acts as a communication link between the borrower and the lenders on matters pertaining to the syndicated loan including submission of required documents/information. As a loan agent, TS monitors payments of fees and expenses to be paid by the borrower including commitment fees, arranger fees, front-end fees and documentary stamps. TS also receives and becomes custodian of documents constituting the conditions precedent for each borrowing.
K. DEBT SERVICE RESERVE AGENT
In this arrangement, Trust Services acts as debt service agent of payments due to the lenders and as such provides them with credit advices corresponding to the amount paid from the debt service account. The fund to be put up by the borrower will be invested and that maturity of investment shall coincide with the due date of debt service account which will assure the lender that there are enough funds to cover the obligation.
Note: For traditional trust services, trust fee is based on the volume and extent of the job to be undertaken.
